Welcome to AshleyStewart.com. These Terms of Use (the "Terms") are an agreement between you and G Ashley Inc., doing business as Ashley Stewart ("Ashley Stewart," "we," "us" or "our"). They govern your use of our website and mobile app (the "Site") and the orders you place through them. Our Privacy Policy explains how we handle personal information.

1. Agreeing to these Terms

By creating an account, signing up for our emails or text messages, or placing an order, you agree to these Terms. If you do not agree, please do not use the Site. Our Privacy Policy is a notice of our practices and is not part of this agreement.

We may update these Terms from time to time. When we do, we will post the updated Terms here with a new "Last updated" date. If we make a material change to the Dispute Resolution or payment terms, we will also email account holders. Changes apply going forward. They do not apply to orders placed, or disputes you have told us about, before the change.

2. Orders, Prices and Payment

When you place an order, you are offering to buy the items in it. Our order confirmation email confirms that we received your order; it does not mean we have accepted it. We may authorize or charge your payment method when you place your order. We accept each item when we ship it, when it is ready for store pickup (where available), or, for e-gift cards, when we email it.

Before we accept an order, we may refuse or cancel it, and we may limit quantities per person, household or order, including orders that use the same account, payment card or address, or that appear to be placed by resellers. If we cancel an order after you have been charged, we will refund the full amount charged and let you know using the contact details you gave us.

Prices are in U.S. dollars. Sales tax is calculated at checkout based on the delivery address. Shipping charges and any optional add-ons are shown before you place your order.

Pricing errors. Occasionally the Site may contain errors in product descriptions, pricing, promotions or availability. We may correct errors at any time. If an item is listed at an incorrect price, we may cancel the order before it ships and refund any amount charged, or contact you for instructions.

Reference prices. When we show a crossed-out, "Was" or "Compare at" price, it is our own former selling price: a price at which we openly offered that item on the Site, in good faith, for a substantial period within the 90 days before the sale. It is not another retailer's price. The savings shown are calculated from that price. Exclusions for any promotion are shown with the offer.

Colors. We try to show product colors accurately, but the colors you see depend on your screen.

3. Returns, Refunds and Shipping

Returns and refunds are governed by our Return Policy, and shipping by our Shipping Policy, each as in effect when you placed your order.

4. Program Terms

Some programs have their own terms, which form part of these Terms when you take part: our text message program terms (provided when you sign up), gift card terms, Diva Dollars, our rewards and referral program, promotion and coupon terms shown with each offer, and the Ashley Stewart Credit Card agreement issued by Comenity Bank. If program terms conflict with these Terms, the program terms control for that program, except that Section 11 (Dispute Resolution and Governing Law) applies to every dispute with us, and any arbitration clause or class-action waiver in program terms does not apply. The Ashley Stewart Credit Card agreement is between you and Comenity Bank and is governed by its own terms.

5. Using the Site

We may change, suspend or discontinue any part of the Site at any time.

Unless otherwise noted, the Site and everything on it, including text, images, illustrations, designs, icons, photographs, video and other materials, and the copyrights, trademarks and trade dress in them (the "Contents"), are owned, controlled or licensed by G Ashley Inc. The Site and Contents are for your personal, non-commercial use. You may download or copy Contents for your personal use only. You may not otherwise reproduce, publish, distribute, modify, create derivative works from, sell or exploit the Site or Contents.

The Site may contain links to other websites that we do not control. We are not responsible for those websites, and a link is not an endorsement.

6. Reviews, Photos and Other Content You Share

Your content. You keep ownership of the reviews, photos and videos you submit to us directly. You grant us a non-exclusive, royalty-free, worldwide license to display, reproduce and share that content on the Site and our social media channels in connection with our business. We will ask for your separate permission before using your image or likeness in paid advertising. For posts you tag with #AshleyStewart or @byashleystewart but do not submit to us, we will ask your permission before reposting them.

Review standards. Reviews must reflect your genuine experience with the product. We do not pay for or reward positive reviews, and we do not remove reviews because they are negative. When a review earns rewards points or another incentive, that incentive does not depend on whether the review is positive, and the review is labeled as incentivized. We may remove content that is unlawful, offensive, off-topic, contains personal information, or is fake or not from a customer.

Your responsibilities. Your content must not violate anyone else's rights, including copyright, trademark or privacy rights, and must not be defamatory, abusive, obscene or contain malware. You may not use a false email address or pretend to be someone else.

Unsolicited ideas. We do not accept unsolicited ideas for products, designs, advertising or our business. If you send us one anyway, it will be treated as non-confidential, we may use it without obligation or compensation to you, and we have no duty to review or return it.

7. Copyright Complaints

We respond to notices of alleged copyright infringement under the Digital Millennium Copyright Act (17 U.S.C. § 512). If you believe material on the Site infringes your copyright, send a written notice to our Designated Agent:

Your notice must include: (a) your physical or electronic signature; (b) identification of the copyrighted work; (c) identification of the material you claim is infringing and enough information for us to locate it; (d) your contact information; (e) a statement that you have a good-faith belief that the use is not authorized by the owner, its agent or the law; and (f) a statement that the information in your notice is accurate and, under penalty of perjury, that you are the owner or are authorized to act for the owner.

If your material was removed and you believe that was a mistake, you may send a counter-notice to the same address that includes: your signature; identification of the removed material and where it appeared; a statement under penalty of perjury that you believe it was removed by mistake or misidentification; and your name, address and phone number, with your consent to the jurisdiction of the federal district court for your address (or, if outside the U.S., any judicial district where we may be found) and to accept service from the person who filed the notice. We will restore the material 10 to 14 business days after we receive your counter-notice unless the complaining party tells us it has filed a court action.

We may terminate access for repeat infringers in appropriate circumstances.

8. Disclaimer

To the extent permitted by law, the Site and its Contents are provided "as is" and "as available," without warranties of any kind. This disclaimer does not apply to products you buy from us. Products come with the implied warranty of merchantability and any other warranties the law provides.

9. Limitation of Liability

To the fullest extent permitted by law, Ashley Stewart will not be liable for indirect, incidental, special, consequential or punitive damages arising from your use of the Site, and our total liability for any claim relating to a purchase will not exceed the amount you paid for that product. These limits do not apply to claims for personal injury or property damage caused by a product, to fraud, gross negligence or willful misconduct, or to claims under the New Jersey Consumer Fraud Act or any other consumer protection law, and they do not limit any right you have that cannot be waived by contract.

10. Indemnity

To the extent permitted by law, you agree to indemnify Ashley Stewart against third-party claims, and the reasonable costs of defending them, that arise from content you submit or from your intentional misuse of the Site in violation of these Terms.

11. Dispute Resolution and Governing Law

If you have a concern about the Site or a product, we hope you will bring it to us first. Before either of us starts a lawsuit, the party with the dispute will send the other a written notice by first-class or registered mail describing it, with any supporting documents, and allow 30 days to respond or resolve it. We will send notices to your most recent billing address or the address in your account.

The 30-day notice step does not apply to small-claims cases, and deadlines for bringing a claim are paused while it runs.

These Terms are governed by the laws of the State of New Jersey, except where the consumer protection laws of your state of residence require otherwise. After the 30-day notice period, any dispute will be resolved exclusively in the Superior Court of New Jersey, Hudson County, or the United States District Court for the District of New Jersey, unless the law of your state of residence lets you bring it where you live. Either of us may bring an individual claim in small-claims court.

12. Termination

You may stop using the Site at any time. We may suspend or end your access if you do not comply with these Terms. Obligations that arose before termination continue afterward.

13. Electronic Communications and Accessibility

You agree that we may send you notices and transaction records, such as order confirmations, electronically.

If you have trouble using any part of the Site because of a disability, call us at 844-327-4539 and we will help you find products and place your order.

14. General

If any part of these Terms is found unenforceable, the rest remains in effect. These Terms, the policies and program terms they link to (other than our Privacy Policy, which is a notice and not part of this agreement), and your order confirmation are the entire agreement between you and us about the Site. Our failure to enforce any provision is not a waiver of it.

15. California Residents

The provider of this Site is G Ashley Inc., d/b/a Ashley Stewart, 150 Meadowlands Parkway, Suite 403, Secaucus, NJ 07094; 844-327-4539. There is no charge to use the Site, other than the price of products you buy and any applicable shipping, taxes and optional charges shown at checkout.
